Sales and Delivery Terms

1. General:
Unless otherwise agreed in writing, the following general sales and delivery terms (hereinafter referred to as the “Terms”) apply to all deliveries from Inex Solution ApS.

2. Offers and Order Confirmation
2.1 The Seller’s offer is valid for 14 days from the date specified on the offer. After this period, the offer automatically lapses. The offer may also lapse if the product is sold out or if delivery conditions change, e.g., from a subcontractor.
2.2 The Seller reserves the right to make changes to the delivery up to the delivery date, guaranteeing at minimum an equivalent service.
2.3 The Buyer can only rely on the terms outlined in these Terms or in an individual written agreement. Any verbal information or content from brochures, websites, etc., is irrelevant for the assessment of the delivery.
2.4 An order becomes binding only when confirmed by the Seller via email, fax, or letter.

3. Prices and Delivery Location
3.1 Prices are based on the Seller’s current price list or the confirmed order.
3.2 Delivery is [Ex Works] (Incoterms 2020). (Specify the applicable Incoterm or explicitly define when delivery is considered fulfilled and when the risk transfers to the Buyer.)
3.3 Delivery times are subject to delays from subcontractors. If delays occur or are expected, the Buyer will be notified immediately with an estimated new delivery time.
3.4 In the case of significant delays, the Buyer has the right to cancel the purchase. For partial deliveries, only the delayed part may be cancelled.
3.5 The Seller is not liable for the Buyer’s indirect losses due to delayed or missing deliveries. The Seller is only liable for direct losses resulting from material breach, and only if the Buyer can document the loss.

4. Payment:
Upon ordering, the Buyer will receive an invoice payable prior to delivery. For partial deliveries, payment is due per shipment. Unless otherwise agreed, payment terms are 8 days net. Late payment incurs interest of 5% per month from the due date. Offsetting is only allowed if the counterclaim is undisputed. Non-payment is considered a material breach and may lead to cessation of further deliveries and immediate payment of outstanding amounts.

5. Order Cancellation and Changes:
Orders for custom-made products cannot be cancelled. If the Seller accepts cancellation or changes to stock items, the Buyer shall bear all related costs and possibly compensate for lost profit, minimum 15% of the product’s value.

6. Product Information and Changes:
The Seller manufactures based on the Buyer’s specifications and drawings and assumes no responsibility for errors therein. No warranty is provided that the product will meet specific needs of the Buyer. Specification changes may be made without notice, as long as they do not cause significant inconvenience.

7. Delivery and Shipping:
Orders over DKK 35,000 are delivered free of charge to addresses on mainland Denmark. The Buyer must ensure accessibility of the delivery site and that unloading is immediate. Waiting time will be charged to the Buyer at DKK 350/hour.

8. Delivery Time, Freight, Insurance:
8.1 Prices in the offer are [Ex Works] (Incoterms 2020) and exclude freight, shipping, insurance, packaging, installation, VAT, and government fees unless otherwise agreed. Changes in currency, duties, insurance, freight, and procurement costs may lead to price adjustments.
8.2 Delivery time is estimated by Inex Solution to the best of its knowledge.
8.3 Stock items are usually delivered within 5 working days in Denmark. Custom-made items are delivered within 45 days. Delivery times for other European countries may vary.

9. Defects and Complaints:
9.1 A 2-year warranty is provided according to Danish sales law. Selected products may have up to a 10-year warranty, which will be clearly stated on the invoice.
9.2 The Buyer must inspect goods upon receipt and report defects in writing within 7 days of discovery.
9.3 The Seller’s liability is limited to replacement or credit at their discretion.
9.4 The Seller does not cover indirect losses or replacement costs.

10. Retention of Title:
The Seller retains ownership of the goods until full payment is received. The Buyer may not resell or dispose of the goods before payment is made.

11. Limitation of Liability:
The Seller’s liability is limited to the invoiced value of the service that caused the damage. Indirect losses, including operating losses and loss of profit, are not compensated.

12. Force Majeure:
The Seller is not liable for delays or failure to fulfill the agreement due to circumstances beyond their control, including strikes, natural disasters, and supply difficulties.

13. Product Liability:
The Seller is liable under Danish product liability law but limited to DKK 5,000,000. Operating losses, loss of profits, or other indirect losses are not covered.

14. Return Policy:
14.1 Custom-made products cannot be returned.
14.2 If the Buyer unexpectedly orders too many standard items, they may return them to Inex Solution ApS at their own cost.
14.3 The right of return only applies to products that have been in the Buyer’s possession for less than 30 days from receipt.
14.4 Return is only accepted if the following conditions are met:

1.  The product must be free from scratches or damage.

2.  The product must be in the same condition as delivered.

3. Photos of the return items must be emailed to info@inexsolution.com before return shipment.
